IMPORTANT ANNOUNCEMENT TO SGS ASSOCIATES

The SageGroup Strategies 2004 Business Relationship Program Is Already Very Successful and Is Expanding Rapidly

New York, NY; Boca Raton, FL; and Alameda, CA -- April 30, 2004. SageGroup Strategies, Inc. announced today that its major 2004 Business Relationships Program has already been very successful during the first four months of 2004 -- and is accordingly being expanded rapidly for the rest of 2004.

This is very important and beneficial for not only the Firm itself but also for the many SGS Associates who are proactively involved in the Program. And, because of the great size of the opportunity, additional SGS Associates are very likely to become involved very soon. This Program is being coordinated by SGS's International Coordination Office in Alameda, CA, with active involvement by several other SGS Offices.

There are many types of professional services and financing firms who see troubled companies which they would like to refer to the largest Professional Troubled-Company Specialist firm in the USA and the World -- and this is SageGroup Strategies with its 650+ professionals and 50+ Offices located throughout the USA and in Europe and Asia. And, since SGS specializes in troubled-company services, it often will refer situations to other types of firms, often for joint involvement.

One common SGS approach is as follows: 1) A SGS Associate makes the initial contact, giving some initial SGS information plus the SGS website; 2) If the other firm responds positively, the SGS Associate then introduces the other firm to Larry Lindsey for final discussion and agreement as to the structure of the relationship. The SGS Associate gets full financial and other credit for the situation.

As one example below, Chaplain Alvin McKinley does Step 1 and Step 2 via two standard emails. As another example, Craig Kaufman often does Step 1 by email, then has a phone discussion with the other firm before possibly involving Larry Lindsey in a three-persons conference call. Peter Welch, Larry Maples, Mike Tubre, Joe Janosik, and others have their own approaches.

For further information, please contact Larry Lindsey by phone at 510-8652480.

SUBJECT: Potential Business Relationship

Dear XXXXXXXXXXXX

This e-mail's purpose is to propose a quality mutually-beneficial relationship between your firm and our firm. We could refer situations to you, and you could refer situations to us. And there could be other attractive potential aspects of the relationship.

I am a senior associate of SageGroup Strategies, Inc.. We are the largest Professional
Troubled-Company Specialist firm in the USA and the World, with over 50 offices and
600 professionals nationally and internationally. Our website is www.SageGroupStrategies.com.

Besides providing business services to troubled companies, we also control and manage several companies. There are three alternative ways in which we can work: 1) Provide managerial, financial, reorganizational, and/or other business services on a fee basis; 2) Become involved as principals; 3) First provide services, then later become principals.

There are many quality ways to structure a situation in an appropriate, logical, comfortable, fair, and equitable manner. In any case you would be well-compensated and we would sign any non-circumvention / non-disclosure agreement your firm and/or troubled companies might have.

We are professionals looking to form an ongoing business relationship that would be worthwhile and in the best interests of both firms, as well as for any troubled companies. As you can see, I am using my personal e-mail address to write to you. If you have any questions, you can best reach me directly through my e-mail address below. I would respond quickly, as well as introduce you to one of our top executives for further discussion and additional information.

Thank you for your consideration of this win/win opportunity for both firms.

Alvin McKinley
Senior Associate
SageGroup Strategies, Inc.
