07/21/03 SageGroup Strategies Forms Medical Industries Division to Help Troubled Medical Companies Nationally and Internationally

New York, NY, and Alameda, CA - July 21, 2003 - SageGroup Strategies announces that it has formed a major SGS Medical Industries Division to serve troubled medical companies nationally and internationally.

SageGroup is the largest Professional Troubled-Company Specialist firm in the United States and the world, with over fifty Offices nationally plus Beijing, China, and several more pending USA and foreign Offices. The Firm specializes in troubled companies and other complex situations, with the main objective of helping such companies to concurrently resolve their problems, reorganize and restructure in an optimal manner, and grow and develop further in a positive appropriate manner.

The Firm recognizes that there are many medical industries, each of which has many troubled companies that the Firm wants to help. In healthcare technology alone, there are many thousands of companies, with annual healthcare technology purchases being about $70 billion in the USA and about $170 billion worldwide. There are many types of medical equipment, devices, diagnostic products, and related products and services. These industries continue to grow worldwide, two key global trends being aging populations and increased demands for access to quality health care. Venture capital firms and angel investors continue to place a priority on these types of companies, with investments going to such companies throughout the USA, especially in Northern California's Silicon Valley, Southern California, Minnesota, and North Carolina. There are many medical growth areas, three of which are oncology, cardiology, and orthopedics.

SageGroup and its staff have had much experience in the medical industries. As one example: "Our oncology imaging manufacturing company has been a well-pleased SageGroup client for about six years," stated Steve Haynes, president and CEO of Haynes Radiation Ltd., Inc. "SageGroup has been very effective in helping us with various negotiations and other matters, and now it is helping us to transition into being a larger stronger medical technology company with a worldwide vision and scope. As a world leader in Therapy Attached Oncology Imaging Technology, HRL is being further assisted by SageGroup in obtaining additional capital, a larger management team, various important relationships, and other resources to best move forward. SageGroup is also working with us to form a key new affiliated company to facilitate this program. And, as an example of how SageGroup works very closely with its clients, I have agreed to being part-time associated with the Firm in case I can help its Medical Industries Division and its clients in any appropriate ways.

"The SGS Medical Industries Division will closely work with and be helped by many other parts of the Firm," further explained Mr.Haynes, "as it looks to grow by utilizing its nationwide resource of multifaceted business professionals to bring other companies and medical industries into the ongoing Medical Industries Division. SageGroup Strategies has been purposefully structured as a multi-dimensional organization, allowing various Firm entities to work together when appropriate, especially for the benefit of its clients. For example, a troubled medical company could concurrently be helped in various aspects by SGS staff within: 1) the Medical Industries Division itself; 2) one or more of the many SGS Offices geographically; and 3) one or more of the national or international SGS Functional Divisions, including the Financing, Global Sourcing, Trade/Barter, and Credit and Collections Divisions. And, SGS clients can also be helped by SGS introductions to many other organizations that have close working relationships with SageGroup, such as: a) various suppliers of debt and equity capital; b) CPA, legal, and other professional services firms; c) potential strategic partners; d) foreign entities such as the Beijing International Business Consultant & Service Center; and e) appropriate others."

"Becoming a SGS Medical Industries client provides an opportunity for under-performing medical industries companies to receive the support of a stronger hands-on management team," said Bill Cornett, a SGS Medical Industries Division Senior Director, former CEO and consultant for other companies in the medical equipment field. "This complements and enhances organizational structures to provide a means to implement profitable operations through national and international development and expansion programs. Every successful company requires a strong and resourceful management team."

Ken Goldner, another SGS Medical Industries Division Senior Director, added, "In areas where there is a high concentration of hospitals, biotech companies, and medical device companies, SageGroup can play a key role in providing assistance in turnaround situations as may be needed, as well as helping their ongoing development and growth."

SageGroup offers a powerful large group of professionals who are experts at helping companies get out of trouble and move forward. SageGroup's staff includes over 600 highly-qualified specialists, including: financing and financial experts; troubled-company experts; turnaround experts; marketing specialists; CPAs; international business experts; attorneys; strategists; joint ventures, mergers, and acquisitions experts; technologists; trade/barter experts; global sourcing specialists; corporate executives; industry specialists; and many others.

SageGroup's staff has been involved in hundreds of difficult company situations, including: refinancings; turnarounds; crisis management; debtor programs; spin-outs; restructurings and reorganizations; and managed wind-downs and shut-downs.

The SGS Medical Industries Division has at least one representative in each SGS Office nationally.
